PUBLIC OFFER
CONTRACT
ABOUT THE PROVISION OF SERVICES

Read the Text of this Public Offer for the Provision of Services and if you disagree with any of the points or you do not understand any of the points, we suggest that you contact the hotel staff for additional clarification.

TERMS
The parties agree to be guided by the following definitions in this agreement:
Customer – a person who orders services for themselves or third parties.
Hotel – Hotel Bristol, located at: 65026, Odessa, Pushkinska St., 15.
Client is a person for whom the Customer places an order (application) for accommodation at the Hotel and who is provided with hotel services and/or event services in accordance with the terms of this Agreement.
A group of clients is a group of at least 10 people who arrive and depart from the Hotel at the same time (i.e. during the billing day).
Hotel services – accommodation, lodging and catering services (buffet breakfast).
Additional hotel services – services that are not part of the basic hotel services and are ordered and paid for by the Client additionally (laundry, transport and food services, mini-bar, etc.). Additional services are not included in the room price, are provided and paid for in accordance with the written confirmation of the Customer or by the Clients on site in cash or by credit card in accordance with the applicable tariffs.
Ordering hotel services – information transmitted by the Customer to the Hotel about a specific Client (Group of Clients) wishing to be accommodated in the Hotel's room stock is transmitted to the Hotel in the manner and form stipulated by this Agreement.
Order cancellation – cancellation of a confirmed order is considered a reduction in the number of customers, complete or partial refusal of the services specified in the order.
Best Available Rate – the lowest published price for hotel rooms without any restrictions on cancellation terms, length of stay, booking terms, etc. The best available rate may be set exclusively and directly by the hotel.
Peak Period – periods of high business or tourist activity in the city and/or in the hotel, which the Hotel has the right to determine additionally during the year. The dates of this period are not fixed for the year. During such a period, special corporate rates and discounts are not valid. Rates valid during the Peak Period will be notified by the Hotel or the Contractor to the Customer at the time of booking.
Event service – a service for organizing and holding a comprehensive event for the Customer on the territory of the Contractor's hotel and restaurant complex.
Public Offer Service Agreement – Agreement.
Parties – Customer and Contractor.
The contractor is the Bristol Hotel or an authorized legal entity or individual.

SUBJECT OF THE CONTRACT
The Contractor undertakes to provide the Customer with hotel services and/or event catering services at the Customer's request, for a fee, in accordance with the procedure and terms stipulated in the terms of this Agreement. The Customer has the right to order the services together or separately from each other.
The performance of certain actions in accordance with clause 2.5. of the Agreement or other actions indicating the ordering of services shall indicate the acceptance by the Customer of the Public Offer in accordance with part 2 of article 642 of the Civil Code of Ukraine.
The contract is concluded between the Hotel and the Customer in the form of an accession contract (Article 634 of the Civil Code of Ukraine).
Concluding the contract means that the Customer has fully familiarized himself with and agrees with the rules of accommodation at the Hotel, recognizes the unconditional suitability of the Hotel premises to meet the needs described in this contract, and accepts all the terms of this contract without comments or objections.
In accordance with Article 642 of the Civil Code of Ukraine, the Customer confirms the fact of acceptance of the Public Offer in the event of any of the following actions: – payment for temporary accommodation services through the reception and accommodation service (reception) or by bank transfer based on issued invoices, or by bank card; – direct use of the Hotel services (accommodation) by the Customer; – filling out the registration form/receipt/questionnaire at the reception; – booking a room by phone or via the Internet.
The Customer undertakes to independently enter (report) reliable personal data and information that correspond to reality when registering for the Hotel's services. By accepting the terms of this Agreement, the Customer grants the Hotel administration permission to collect, store, process, and transfer his personal data if necessary.
The acceptance period of this Public Offer is unlimited.

PROCEDURE FOR BOOKING, PROVISION OF SERVICES, AGREED AND MAKING CHANGES TO THE ORDER
Reservation and provision of accommodation services:
ordering (booking) of the Contractor's Services is carried out by the Customer sending a written Application by e-mail or filling out the relevant forms on the website and at the prices specified on the website or agreed upon by the parties regarding certain additional services;
Services are booked by the Customer no less than 24 hours before the scheduled check-in date;
The fact of confirming the booking of services is considered to be the sending to the Customer by the Contractor of the corresponding "Booking Confirmation" in the form established by the Contractor;
extension of the Client's stay beyond the period specified in the Application, as well as accommodation of Clients who arrived without prior reservation, is carried out subject to availability of places and is paid by the Client on the spot in cash or by credit card;
the client receives the room no earlier than 14:00 on the day of arrival and vacates it no later than 12:00 on the day of departure. If guaranteed accommodation is required before the specified time (14:00), it is necessary to book a room one day before arrival. Non-guaranteed early check-in in the period 06:30-14:00 is charged and paid in the amount of 50% (fifty percent) of the price of the day of accommodation and is provided subject to the availability of free rooms on the day of arrival;
3.1.6. if the Client stays in the hotel for less than one day, the amount of the fee for the provision of hotel services is set for a full day;
3.1.7. Check-out after 12:00 is provided subject to availability of rooms and is paid by the Customer or Client in the amount of 50% of the cost of a day's stay only until 18:00, check-out after 18:00 is paid as a daily stay.

Coordination and procedure for providing event services:
The order for Services is made by signing the Specification to the Agreement by the Parties, but no later than 7 (seven) calendar days before the scheduled date of the Customer's event;
the parties agreed that the cost of services specified in the Specification may be increased to 10% in the event of an increase in the number of ordered services without signing an additional Specification;
in the case of ordering Services earlier than 2 months before the date of the planned event, the Customer pays a deposit in the amount of 20% of the cost of the ordered services, which is non-refundable in the event of cancellation of the Order, unless otherwise specified in the Specification;
3.2.4. The specification is detailed no later than 5 (five) days before the event date, by signing the "Event Service Confirmation", which indicates information regarding the event schedule, audiovisual design of the premises, the number of individuals attending the event, food and beverage orders, etc.;
3.2.5. making changes to the "Confirmation of Event Services" 2 (two) business days before the date of the event may be made by prior agreement with the Contractor, subject to payment of a double tariff for additionally ordered services;
3.2.6. the cost of changing the location of furniture and equipment one day before the date of the event, or later, at the initiative of the Customer, is 5,000 UAH (five thousand hryvnias 00 kopecks) excluding VAT.

RIGHTS AND OBLIGATIONS OF THE PARTIES
The customer is obliged to:
not to use the premises provided for the event to carry out actions that may be dangerous, illegal or immoral, as well as those that may have negative consequences for the business reputation and prestige of the Contractor;
not to bring food and drinks to the Hotel for consumption at the event by individuals, and not to take food or drinks out of the Hotel after the event, unless otherwise agreed in writing with the Contractor;
not to hang any objects on the walls, doors and other parts of the Hotel premises without prior written consent from the Contractor;
not to allow your actions to block emergency and service exits;
remove all decorative items, as well as audio-visual equipment from the Hotel after the end of the event by 01:00 a.m., unless otherwise agreed upon with the Contractor;
send Applications for booking Services to the Contractor in accordance with the terms of the Agreement;
to inform the Clients of the necessary information received from the Contractor regarding the hotel services provided by the Contractor and the procedure for their provision;
to timely pay for the ordered services in accordance with the procedure and within the terms specified in the Agreement;
notify the Contractor in writing about the cancellation of the ordered services according to the Application;
ensure the presence of its representative(s) on the day of the Customer's event to resolve operational issues related to the preparation and holding of the event.

The customer has the right:
to monitor the completeness of the provision of Services in accordance with the provisions of the Agreement.
– require the Contractor to provide high-quality hotel services in accordance with the requirements of current legislation and proper implementation of the terms of this Agreement.
– the possibility of accommodation with small pets, provided that the hotel rules regarding such accommodation are followed.

The contractor is obliged to:
ensure the presence of its representative(s) on the day of the Customer's event to resolve operational issues related to the preparation and holding of the event;
provide necessary and reliable information about hotel services, their types and features, the procedure and terms of payment for the Contractor's services and other information related to the Agreement and hotel services;
accept and confirm received Applications, if there are free numbers, or refuse to provide services within a period of no more than 24 hours from the moment of their receipt;
be responsible for the quality of the Services provided in accordance with the terms of the Agreement and the current legislation of Ukraine;
When providing Services to Clients, comply with the conditions (requirements) specified in the Application for booking services submitted by the Customer.

The contractor has the right:
replace one hall with another upon prior agreement with the Customer;
provide the Customer with similar premises if the Contractor cannot provide the Customer with the Hotel premises agreed upon with him for reasons beyond his control;
if the Contractor cannot provide the Customer with the reserved rooms, for reasons beyond its control, the Contractor reserves the right to provide the Customer with similar rooms for use;
to terminate the provision of Services early in the event of the Client's repeated violation of the rules of stay, if such actions cause material damage to the Contractor and/or create inconvenience for other Clients of the Contractor, without reimbursement of the cost of the services ordered by the Customer. Compensation for losses caused by the Client in connection with the loss or damage to the Contractor's property is carried out by him in accordance with the current legislation of Ukraine;
*during the period of any promotional actions by the Contractor (reduction of tariffs for the period of low occupancy of the Hotel, package offers, etc.), the discounts provided for by the terms of such promotions are not added to the Customer's discounts under this Agreement. In this case, the Customer continues to make payments at its contractual tariffs;
**in the event of involving the Contractor in tenders or any competitions, the Contractor reserves the right to consider Applications received from the Customer on separate terms and provide special tariffs. Special tariffs may differ from the tariffs of this Agreement to a greater or lesser extent. In this case, the Customer pays for the ordered Services based on the invoice provided by the Contractor in accordance with the terms of the Agreement;
***in the case of selling rooms through online systems, the Customer is obliged to obtain written consent from the Contractor by signing an Additional Agreement to this Agreement for such online sale of rooms of any category and to agree in writing on prices, room quota and conditions for closing dates for sale.

SETTLEMENT PROCEDURE
Payment procedure for event organization services:
the preliminary total cost of the Services provided by the Contractor is indicated in the Specifications to this Agreement;
the customer makes 100% an advance payment for the Services based on the Specification by non-cash payment. The payment terms are specified in the Specification, which is an integral part of the Agreement. The Contractor shall begin to fulfill its obligations under this Agreement only after receiving full payment for the Services;
in the event of failure by the Customer to fulfill clause 5.1.2 of the Agreement, the Contractor has the right to refuse to fulfill its obligations in accordance with the terms of this Agreement;
within 3 business days after the event, the Parties shall sign the Certificate of Work Performed. If the Customer does not sign and/or return the Certificate to the Contractor within the specified period, or does not provide a reasoned written refusal to sign the Certificate, the Contractor's obligations under the terms of this Agreement shall be deemed fulfilled;
In the event of a reduction in the service period for reasons beyond the Contractor's control, or the presence of a smaller number of individuals at the event, the total cost of the Services will not be revised downwards.
Payment procedure for hotel accommodation services:
The cost of the Services is determined on the website or in additional agreements, specifications, which are integral parts of the Agreement.
when ordering for an individual Client (up to 10 rooms), the Customer shall make a prepayment in the amount of 100% (one hundred percent) of the cost of the ordered hotel services no later than 3 (three) banking days before the arrival date specified in the Application, unless otherwise specified in the Specification;
When ordering for a group of Clients (more than 10 rooms), the Customer shall make a prepayment in the amount of 100% (one hundred percent) of the cost of the ordered hotel services no later than 14 (fourteen) banking days before the arrival date specified in the Application, unless otherwise specified in the Specification;
Payments can be made by the Customer in non-cash form, in cash or by payment cards (Visa, MasterCard, American Express);
5.2.5. within 3 business days from the date of provision of services, the Parties shall sign the Act of Services Provided (hereinafter referred to as the "Act"). If the Customer does not sign and/or return the Act to the Contractor within the specified period, and does not provide a reasoned written refusal to sign the Act, the Contractor's obligations under the terms of this Agreement shall be deemed fulfilled, and the Act, accordingly, signed;
5.2.6. in the event of failure by the Customer to fulfill clauses 5.2.2, 5.2.3 of the Agreement, the Contractor has the right to refuse to fulfill its obligations in accordance with the terms of this Agreement;
5.2.7. If the Client does not arrive by 18:00 (cancellation time) on the day of the ordered services, the reservation is canceled if the Client has not made a prepayment in accordance with the terms of this Agreement.

PROCEDURE FOR INSTALLATION OF EQUIPMENT AND STORAGE OF MATERIAL VALUABLES AND PERSONAL BELONGINGS
The Contractor may provide the Customer with the equipment necessary for the event on a paid basis. The list and cost of renting the equipment necessary for the event shall be agreed upon by the Parties additionally.
The Customer is obliged to notify the Contractor's contact person (group coordinator) of all deliveries of the Customer's equipment and material assets to the Hotel in advance, but no later than 24 hours before the start of the event. The Contractor provides the Customer with 60 minutes free of charge before and after the event for the installation and dismantling of the equipment.
All equipment and packages delivered to the Hotel must be marked with the name and date of the event. The Contractor does not provide special storage facilities other than the Hotel rooms booked by the Customer.
The Contractor is not responsible for items left at the Hotel.

RESPONSIBILITY OF THE PARTIES
Responsibility of the parties for the provision/payment of event services:
7.1.1. for failure to fulfill and improper fulfillment of their obligations in accordance with the terms of this Agreement, the Parties shall be liable in accordance with the current legislation of Ukraine;
for late payment of the Services provided, the Customer shall pay the Contractor a penalty in the amount of 0.1 (one tenth) percent of the cost of the Services for each calendar day of delay, and for a delay of more than thirty days, an additional fine of 7 (seven) percent of the total cost of the Services provided shall be charged;
in case of cancellation of the Order later than 10 (ten) days before the date of the event, the Customer shall pay a penalty in the amount of 50% of the Order value, in accordance with the Specification to the Agreement, unless otherwise specified in the Specification;
in case of cancellation of the Order 5 (five) days or less before the date of the event, the Customer pays a penalty in the amount of the full cost of the Order, in accordance with the Specification to the Agreement, unless otherwise specified in the Specification;
7.1.5. The customer is fully responsible for paying the cost of additional cleaning or repairs caused by contractors (third parties) during the installation of the equipment. The amount of damage will be determined by the Contractor's technical department in the presence of the Customer;
7.1.6. The Contractor is not responsible for persons attending the event on the premises of the Hotel; the Customer shall exercise control over the invited persons;
7.1.7. The Customer is responsible for any damages caused by individuals who attended the event on the premises of the Hotel before, during or after the event.

7.2. Responsibility of the parties for the provision/payment of accommodation services:
for late payment, the Customer shall pay the Contractor a penalty in the amount of 0.1% (one tenth of a percent) of the cost of hotel services for each calendar day of delay, and for a delay of more than 30 (thirty) days, an additional fine in the amount of 7% (seven percent) of the total cost of the Services provided shall be charged;
in case of cancellation of an order for an individual Client (up to 10 rooms) within 24 hours prior to the date of arrival or non-arrival, the Client pays a penalty in the amount of 100% (one hundred percent) of the cost of a day's accommodation for each cancelled room, including the price of breakfast;
7.2.3. in case of cancellation of an order for a group of Clients (more than 10 rooms) less than 30 (thirty) calendar days before the arrival date, the Customer pays a penalty in the amount of 50% (fifty percent) of the cost of a day of accommodation for each cancelled room, unless otherwise specified in the Specification;
7.2.4. in case of cancellation of an order for a group of Clients (more than 10 rooms) less than 20 (twenty) calendar days before the arrival date, the Customer shall pay a penalty in the amount of 100% (one hundred percent) of the cost of the night's stay for each cancelled room, unless otherwise specified in the Specification;
The Customer or Client shall not be allowed to shorten the period of provision of Hotel Services after the start of the provision of Hotel Services or on the day of arrival. In case of early departure, the Customer shall be charged for the entire period of stay previously ordered and officially confirmed by the Contractor, and 100% (one hundred percent) of the prepayment of the order value shall not be refunded;
Reducing the number of booked services for a group of clients without applying penalties is determined individually for each individual group booking and is agreed between the Customer and the Contractor at the stage of confirming the group booking.

FORCE MAJEURE CIRCUMSTANCES
The Parties are exempt from liability for failure to fulfill or improper fulfillment of obligations under this Agreement, if this failure is a consequence of force majeure circumstances that arose after the signing of this Agreement and do not depend on the will of the Parties. The Party for which, as a result of force majeure circumstances, it is impossible to fulfill obligations under this Agreement must notify the other Party in writing within 5 (five) business days of the occurrence and termination of such circumstances.
The terms of performance of obligations under this Agreement shall be extended in proportion to the time during which the force majeure circumstances continue. If the force majeure continues for more than 3 (three) months, either party may terminate this Agreement in respect of unfulfilled obligations.

FINAL PROVISIONS
The Customer and the Clients have agreed that their personal data, which became known to the Parties in connection with the conclusion of the Agreement, are included in the personal data bases of the Parties. By signing the Agreement, the authorized representatives of the Parties give their consent (permission) to the processing of their personal data in order to confirm the authority of the subject to conclude, amend and terminate the Agreement, ensure the implementation of administrative, legal and tax relations, relations in the field of accounting and statistics, as well as to ensure the implementation of other relations stipulated by law. By signing the Agreement, the representatives of the Parties confirm that they have been notified of their rights in accordance with Article 8 of the Law of Ukraine "On Personal Data Protection". The Parties ensure the protection of personal data of the representatives of the Parties in accordance with the legislation on personal data protection.
The territory of the Hotel, all entrances to it, internal stairs and corridors are recorded by video cameras. All information is registered. It is recorded on digital media and stored. Video surveillance is carried out for the safety of Guests, their property and the property of the Hotel. By accepting the Public Offer, the Customer or Guests do not object to the fact of using video surveillance in the Hotel premises.
